Notice of Annual General Meeting (AGM)

In adherence to the Memorandums and Articles of the Southampton Solent Students’ Union, I hereby give notice that the Trustees of the Union have called the Annual General Meeting.

 

This notice contains the following information:

i)The date and time of the meeting:

6.30pm Thursday 1st December 2016

 

ii)The place of the meeting:

The Den, East Park Terrace

 

iii)The business of the meeting:

  • Receive the minutes of the previous Annual General Meeting;
  • Receiving the report of the Trustees on the Union’s activities since the previous annual general meeting;
  • Receiving accounts of the Union for the previous financial year;
  • Appointment of the Union’s Auditors;
  • Reviewing and/or approving the Union’s Code of Practice;
  • Reviewing and/or approving the list of external affiliations of the Union;
  • Open questions to the Trustees by the members; and
  • To vote on the following motions;

 

“Should NUS conduct and publish a risk assessment and equality impact assessment before finalising the NSS boycott / sabotage action?”

 

 

iv) Details of the constituency of Union members who are eligible to participate:

In adherence of bye-law 1 of the Solent Students’ Union, Full Members of the Union are eligible to participate in the Annual Members Meetings.

 

Full Members are defined as:

  • Each and every student who has not opted out by notifying Southampton Solent University or the Union of his or her wish not to be a member of the Union; and
  • The Sabbatical Officers of the Union.
     

v)Details of members wishing to vote by proxy:

In adherence to article 29.1 of the Solent Students’ Union Memorandum and Articles of Association, members are eligible to vote by proxy.

 

Proxies may only validly be appointed by a notice in writing (a ”proxy notice”) which:

  • states the name and address of the Member appointing the proxy;
  • Identifies the person appointed to be that Member’s proxy and the general meeting  in relation to which that person is appointed;
  • Is signed by or on behalf of the Member appointing the proxy, or be authenticated in such manner as the Trustees may determine; and
  • Is delivered to the Union in accordance with the Articles and any instructions contained in the notice of the general meeting to which they relate.

 

For the purposes of this AGM, proxies must be delivered either in writing, or via a valid Southampton Solent University email address, to Gwen Cross, Student Voice Coordinator, at gwen.cross@solent.ac.uk, by 5pm, Wednesday November 30th.
